Should it be signed: > XYZ, Corp. > by John Doe, President If you aren't already aware, having a corporation as sole general partners of an LP can be problematic, particularly if the corporation was set up for that specific purpose. If it would result in higher taxes the IRS could try to require the LP be taxed as a corporation rather than a partnership - I've seen them do it. That's the reason LLCs were created - to avoid that problem.
