The term "close corporation" used to refer to a closely held
one, i.e. stock owned by a "few good men" capable of being
controlled.

In California we have statutory close corporations, which do
not have all the bureaucratic requirements of other
corporations. But in general they are not used, and I have
not recommended them in the past, though I can't remember
off the top of my head why.

See:

http://www.toolkit.cch.com/text/P12_4251.asp

CCh has a chart toward the end of the page showing the
states that allow close corporations.

I am not an attorney so take what I say with a *pound* of
salt but I have never heard of a statutaory close
corporation being available in the Old North State. Legal
questions should be directed to an attorney.

Sorry, I've never heard of a close corporation here in the
US. Overseas yes. US no. I might be wrong but would venture
that they are not legit here.

BTW I'm in Michigan so not as familiar with NC law.
