While what you are asking is related to taxes, it is more of
a legal issue than a tax issue. It is also much too involved
than can be dealt with in a forum like this.

Pick up the book from Nolo Press (see nolo.com) on how to set
up your own California corporation. It should give you
everything you need to know.

Questions on stock re incorporation

I am trying to incorporate in california for my startup

The company will issue me stock for my technology. I want it
to be a cashless transaction.

How do I go about doing this in the incorporation forms? How
to express it?

What are the different terms I should know with regard to this?

Will I be able to change anything in case I have incorrectly
entered the value or quantity of stock or any other piece of
information?

Anything else to keep in mind that is important?
