| The major information you should know is that doing business in Arizona through a Nevada corporation will not save you any Arizona taxes. Nor will it save you any state or local taxes in any other state where the corporation does business. The IRS doesn't really care where you organize your corporation, because for federal income tax purposes it doesn't make a difference. The promoters of Nevada corporations often suggest that because Nevada has no corporate income tax, the income of a Nevada corporation escapes state tax. They may not say so directly, but they leave that impression. It is false. Corporations are subject to state taxation where they do business, not necessarily where they are organized. If you organize your corporation in Nevada, but do business in Arizona, the corporation must obtain a certificate of authority to do business in Arizona and file Arizona corporate income tax returns. It must also meet all of the compliance requirements of the state of Nevada to remain in good standing as a corporation. Generally it is easier just to organize in the state where the corporation's major activities will take place.
