Don't forget to register in AZ as a foreign corporation and
file and pay AZ taxes - assuming you have nexus in AZ since
you live there.

IRS doesn't care where you incorporate. Tax determinations
are under federal law.

The major information you should know is that doing business
in Arizona through a Nevada corporation will not save you
any Arizona taxes. Nor will it save you any state or local
taxes in any other state where the corporation does
business.

The IRS doesn't really care where you organize your
corporation, because for federal income tax purposes it
doesn't make a difference.

The promoters of Nevada corporations often suggest that
because Nevada has no corporate income tax, the income of a
Nevada corporation escapes state tax. They may not say so
directly, but they leave that impression. It is false.
Corporations are subject to state taxation where they do
business, not necessarily where they are organized.

If you organize your corporation in Nevada, but do business
in Arizona, the corporation must obtain a certificate of
authority to do business in Arizona and file Arizona
corporate income tax returns. It must also meet all of the
compliance requirements of the state of Nevada to remain in
good standing as a corporation. Generally it is easier just
to organize in the state where the corporation's major
activities will take place.

I think that's ballpark. However, you just get
cookie-cutter/boilerplate documents.

Fees for consultation with a CPA and or Lawyer. Not
required, but really good idea.

Federal return, and state returns if business conducted in
other states

Not if you do things properly.

I take it that you will be doing business in AZ also. You
will need to file AZ tax return.

Default Taxes & NEVADA Corporation - any personal experiences?

Hello friends - anyone who actually has a NV Corp? Some
questions:

1. Many offers on line for about $250 including resident
agent. Is this the best there is?

2. Are there other fees not mentioned once the Corp is
approved?

3. What are the ongoing fees and requirements?

4. Is the IRS all over you with its usual harrassment and
incompetence?

5. Any other info I should know - is it really so great? I
live in AZ.

many thanks
