You are better off hiring a lawyer or CPA, and the CPA would
be a better person to start with. If you try to do things
to save a few bucks now you may be finding yourself in a
situation where you owe lots more in the future.

I doubt you get many responses to your inquiry because there
are too many questions involved. I would recommend you try
reducing your question down to one concise question and try
again.

I am not a tax professional, but a small business owner who
comes here for advice. From the questions you are asking it
seems clear that you need to sit down with both a lawyer and
a CPA and have the differences between a Sole
Proprietorship, LLC and S-Corp explained to you, along with
all the various forms you must file to first register and
then pay the various taxes that will be due.

This is controlled by the state where you register, but in
my limited experience there are certain terms that cannot be
used unless you meet the legal requirements. For example in
NY an LLC must use LLC at the end of the name. I would be
surprised if you could use Corp in your business name of you
were not organized as a S-Corp or C-Corp.

I' not sure what you are asking.

There should no "legal" issues, if you mean will you be
violating any laws. However, your present employer would not
be happy if your small business was competing in any way
with the business of your present employer, or using any
equipment or other resources of your present employer or
interfering with the work your present employer is paying
you to do. If I were you I would tell your present employer
about your plans to start this business and make sure they
do not see any conflict of interest. (Just because they do
does not mean there is a conflict - but it is then something
you will have to discuss with them.)

working. We would like to setup some business like want to
sell some Computer equipment for local corporate offices
