As far as IRS is concerned, send in the 3rd quarter 941 form
with zeros as you've been doing, and also mark at top,
before question #1, check the box "not liable for future
filing", or words to that effect. Also when IRS sends the
940-ez form in Dec, do the same.

Check with your local Georgia dept of revenue office for
procedures to close out your state withholding account.

You DID pay Mrs Cox her 15$ (or is it 25$ now) last
March, didn't you?

Anyway, you need to dissolve the corporation. Check the
Georgia secretary of state's web site to find out how to do
this. Look at: http://www.sos.state.ga.us/corporations/

there's a sidebar including "How to dissolve a corporation> "

If you have any questions or reservations on how to do this,
consult a local attorney.

For IRS purposes file a final s-corp return and a form
(960?) for terminating it with them. Check with Georgia as
to how o legally terminate it.

Default S-Corp Closing Procedure

I formed S-Corp in GA during 2002 and I was the only
employee. Nature of busniess is Software consulting and
contracting. August 2003 was the last month I worked throug
my company. And 8/2003 was the last month I got wages from
my company. Then I became a employee of my current employer.
After 8/2003, mycompany doesn't have any income.

In my S-Corporation, currently there is no employee. There
is no income for this whole year (2004). As per Business
filing requirments, eventhough there is no income I have
been filing quarterly returns with $0.00. So, I decided to
close the business after filings the 3rd quarter return.

I would like to know the business closing procedure for
S-Corp and time limits for final filings. I found procedure
for IRS at

and I see that all of the steps is not applicable to me.
But I don't skow procedures for Georgia state.

Please Advice me what are all the forms has to be filed
