First, Form 940 is only filed annually. You should make
deposits quarterly if the unpaid amount due thru that
quarter is $100 or more.

The 941 is quarterly. File a 941 for each quarter not yet
filed, even if the amount is zero. Otherwise, you'll get a
letter asking about the "missing" 941. I would file them
without trying to figure the penalty. IRS is usually happy
to advise you of that amount.

Be very careful to designate the proper year on the 940 and
proper quarter/year on each 941 when making your tax
deposits!

I haven't paid employment taxes for 2002 and 2003 yet. I
never filed 941 or 940 forms for my corporation S. I will be
filing all the late forms and paying fees now. I owe $1200
in fourth quarter in 2002 and $2600 in first quarter in 2003
in employment taxes. Second and Third quarters of 2003 had
no wages, and no employment taxes. How do I file the late
forms?

1) Should I file one 941 and 940 form for 2002, and three
941, 940 forms for 2003 for the corresponding quarters?

2) Do I need to file 941, 940 forms for second and third
quarters of 2003 even if I had not paid myself wages and had
no employment taxes for those quarters?
