The 941 is quarterly. File a 941 for each quarter not yet filed, even if the amount is zero. Otherwise, you'll get a letter asking about the "missing" 941. I would file them without trying to figure the penalty. IRS is usually happy to advise you of that amount. Be very careful to designate the proper year on the 940 and proper quarter/year on each 941 when making your tax deposits!
