Yeah, go ahead and blame the lawyers. Whether it's true or not.

In 1999 I filed 1992 thru 1998 returns for an S-corp. Then
I received a letter from the IRS stating a valid election
was not on file. I submitted the 2553 pursuant to rev proc
97-40 claiming the sole-shareholder assumed the lawyer had
timely filed an election and that the shareholder had always
treated his corporation as an S-corp (even tho he had never
filed a return) and promptly received notice that he had
been accepted as an S-corp retroactive to 1992
