Here's from the log of MS support incident I opened a while ago about this
problem.

The reason that the transaction will not match is because it is a payment
for invoice. This is a product limitation for this version of Money. The OFX
format, is unable to tell the difference between a simple deposit and one
that is matched to another transaction (Invoice in this case). When it
displays the list of possible matches, it looks only for simple deposits,
and is not able to match to the payment since this category is an internal
money type of transaction and is no longer recognized as a deposit.

I'm using Microsoft Money 2004 for Small Business. I'm
having a problem matching invoice payments to deposits
downloaded from my checking account. Money seems to not
allow it, even though the dates and the amounts on the
deposits match precisely.

I have tried hitting the change button on the downloaded
transaction to match it to the existing invoice payment
(which appears as a deposit in the account regiter), but
the invoice payment does not show up in the register as a
transaction that you can match it with.

I also tried deleting the invoice payment and then
applying the downloaded deposit to an outstanding invoice,
but I couldn't find a way to do that either. If I
choose "payment for invoice" as the category for the
downloaded transaction, it tells me that "Payment for
Invoice is not a valid choice" for that transaction.

Any ideas? Am I missing something? I'd like to use the
invoicing feature in Money 2004, but it's imperative that
my account balance.
