It's interesting that it got as far as knowing that it needed to upgrade the file before saying it could not be opened. It would have had to open it to know it needed upgraded. Where was the file? Was it in a directory that you can write to? If you copy the file to your desktop and open it from there--double click on it--what happens? Your problem could well still be related to the cross-localization involved here.
