Having Money 2006 uninstall is one option, and I think it is the
default. The other option is to have both on the computer, tho only
one can run at a time.

One more question. Is is ok to install Money 2006 on a computer that
currently runs Works 2004 Suite? I assume it can replace existing Money
2004 and does not require manual uninstall of Version 2004. That means
V2006 automatically uninstalls V2004 before installation.

Yes. See Help-> AboutMicrosoftMoney-> LicenseAgreement.

If you want to share the same Money file, then things can be tricky.
If you are using independent Money files, things are easy.

If I have 2 desktop computers and I want to use Money 2006 on both, I can
install it (from retail disk) on both computers? I assumed it was ok but
just wanted to verify.

You may, but I don't know if you can. ;-|

Seriously, tho, there is an advantage to having the Money 2006 disk.
The license lets you put it on your desktop machine and your laptop.
