That is Money's stupid way of telling you that it is not backwards
compatible.

I have loaded 2001 and tried to open 2005 files.
It is asking me for the password, but they are not password protected.

Basically you can't. Money is not backwards compatible.
However when M2005 converted your file it made a copy named *.m14 which is
your *.mny file at the time. You can rename this to be *.mny but you will
have to reinput all transactions since the conversion.
