Thanks to Glyn and Greg. I was able to connect on line via a modem (as
opposed to company proxy firewall) and authenticated the passport passcode. I
then disabled it. But Greg also had a good suggestion that may also work.

To disable a passport password in Money, you need to successfully
authenticate online with it first. Reregistering the msxml3.dll file should
be safe though.

Hi Bill,

Not sure that this is a solution, but it may be worth a try..... Try
creating a new file and import all the accounts into the new file, Maybe
this will allow your password to be validated prior to allowing the import,
and the new file will not require the password.

I have been using Money 2002 Deluxe successfully for about two years.
Recently, I added my passport password in order to make entry to my file more
secure. However, I have never been able to have Money verify the password
when I sign in. I have today read Q331123 and have determined that
registering the Msxml3.dll file may be a possible solution. Before I
attempted this, I tried to disable the password function, as I am afraid
that, at some point, I will not be able to retrieve the file, and that would
be a disaster. However, when I try to disable, I get an error which says
something like "unable to disable. Please try again later". It is never
successful. At this point, I would just like to get rid of the requirement to
enter a password (I do use the passport password.)

Any suggestions?
